José Luis Rodriguez Zapatero a décroché son téléphone hier matin
pour appeler Elena Salgado, sa  ministre
des finances. Le premier ministre espagnol, dont le pays assure la présidence tournante des
conseils des ministres européens, lui a demandé de retirer de l’ordre du jour
de la réunion des ministres des Finances le projet de directive sur les
« gestionnaires de fonds d’investissement alternatifs » qui vise
à réguler les « hedge funds » et les « private
equity ». Zapatero a voulu donner un coup de main à son collègue Gordon
Brown, socialiste comme lui, qui doit affronter de difficiles élections législatives
au printemps prochain. En effet, mis à part la Grande-Bretagne et la République
tchèque, tous les autres États membres étaient prêts à adopter le
compromis préparé par les Espagnols. Mais vu la sensibilité du sujet en
Grande-Bretagne, ce pays accueillant 80 % des hedge funds agissant en Europe, un passage en
force de l’Union aurait fourni des munitions aux conservateurs.
· Que propose la Commission européenne ?
Il a fallu que les États membres tordent le bras du commissaire européen au
marché intérieur sortant, l’Irlandais Charlie McCreevy, pour qu’il
présente une proposition de directive encadrant l’activité des fonds
d’investissement en Europe (qui pèsent plus de 2000 milliards d’euros). Car,
pour cet « ultralibéral », toute réglementation risquait de
décourager leurs activités alors même que, selon lui, ils
n’étaient en rien responsables de la crise financière de 2007-2008. Il a donc
proposé, le 29 avril 2009, un texte a minima, immédiatement critiqué par les
États n’accueillant quasiment pas de hedge funds, comme la France ou
l’Allemagne...
La Commission propose donc d’encadrer, non pas les fonds eux-mêmes (pas
d’exigence d’un ratio de fonds propre, par exemple), mais leurs gestionnaires. Pour
commercialiser les produits de leurs fonds dans l’Union, les gestionnaires
domiciliés dans un État membre devront obtenir un « passeport
européen » délivré par les autorités nationales. Pour ce
faire, ils devront fournir un certain nombre de renseignements (composition du fonds, domicile,
etc.). Le passeport ne sera exigé que si le fonds est doté de plus de 100 millions
d’euros. Ce système s’applique même si le fonds en tant que tel est
domicilié dans un pays tiers ou un paradis fiscal. Quant aux gestionnaires
domiciliés dans un pays hors UE, ils pourront obtenir trois ans après
l’entrée en vigueur de la directive ce passeport à condition qu’il
existe un cadre réglementaire reconnu comme « équivalent »
par la Commission.
· Le Parlement européen va-t-il durcir le
texte ?
 Le
nouveau commissaire au marché intérieur, Michel Barnier, plus régulateur que
son prédécesseur, a annoncé qu’il soutiendrait les amendements du
Parlement européen et du Conseil des ministres durcissant le projet de directive. Parti la
fleur au fusil, le rapporteur du texte, l’eurodéputé UMP, Jean-Paul
Gauzès, a dû en rabattre, reconnaissant désormais que la majorité des
hedge funds ne sont pas les boîtes noires de la spéculation, mais que beaucoup
d’entre eux jouent un rôle très positif dans le financement de
l’économie réel. Bref, le Parlement européen semble désormais
surtout soucieux de ne pas décourager leurs activités en Europe. Le texte, qui doit
être voté en première lecture d’ici à l’été,
ne bouleversera donc pas l’économie du texte d’origine, mais devrait contenir
plusieurs innovations : notamment, le plancher de 100 millions d’euros sera
supprimé et l’exigence du passeport et de la supervision sera étendue aux
gestionnaires de tous les fonds, y compris les fonds de pension. Les députés
souhaitent aussi introduire une exigence de fonds propres minimale.
· Pourquoi la Grande-Bretagne refuse-t-elle ce texte
?
Londres aurait pu se satisfaire du projet originel de la Commission, même amendé par
le Parlement 
européen. Mais voilà : sous la pression de Berlin et de Paris, la
présidence espagnole du conseil des ministres des Finances avait préparé un
projet qui abandonnait la possibilité pour les gestionnaires de fonds domiciliés
dans un pays tiers d’obtenir le fameux « passeport européen ».
Pour la majorité des États membres, ces gestionnaires devraient continuer à
demander une autorisation d’agir auprès de chaque autorité nationale. Une
« fragmentation du marché » inacceptable pour Londres, la
quasi-totalité de ces fonds des pays tiers agissant à partir de la City. Tim
Geithner, le secrétaire au trésor américain, est sur la même longueur
d’onde : il l’a écrit à Michel Barnier, accusant l’Union de
« discrimination ».
